Terms of Service

Our terms and conditions for using OmniOne services.

Service Agreement

By engaging OmniOne for services, you agree to these terms. We provide digital marketing, design, development, and consulting services as described in contracts or proposals.

Payment Terms

Invoicing: Monthly retainers billed on the 1st of each month. One-time projects billed per contract terms (50% upfront, 50% on delivery is standard).

Payment Methods: Bank transfer (NEFT/RTGS), Stripe, or check. Invoices are due within 14 days unless otherwise agreed.

Late Payment: Accounts 30+ days overdue may result in service suspension.

Scope & Deliverables

Services are defined in the signed contract or proposal. Out-of-scope requests may incur additional fees. We deliver results based on strategy, effort, and market conditions, not guaranteed outcomes.

Intellectual Property

You own deliverables (designs, code, content) created for you. We retain ownership of tools, frameworks, and processes we use. Any work we produce can be used as a portfolio case study (with permission) or sample.

Confidentiality

We treat your business information as confidential. You must do the same with our strategies and methodologies. Both parties may not disclose sensitive information without written consent.

Limitation of Liability

Our total liability is limited to the fees you paid in the last 12 months. We are not liable for indirect, consequential, or lost profit damages. We work in good faith but cannot guarantee specific results (especially SEO, which depends on Google's algorithm and market competition).

Contract Termination

Month-to-Month Retainers: Either party may terminate with 30 days written notice. Final month billed in full.

Fixed Contracts: Termination terms specified in the contract.

Cause Termination: If either party violates material terms and doesn't cure within 15 days, the other may terminate immediately.

Warranty Disclaimer

Services are provided "as-is" without warranties. We do not guarantee uptime, specific rankings, traffic levels, or conversions. We commit to following industry best practices and honest communication.

Governing Law

These terms are governed by Indian law. Disputes will be resolved through mutual agreement or arbitration (not litigation).
